1. Acceptance of Terms

By downloading, accessing, browsing, or using Cortex Terminal (the "Software", "Platform", or "Service"), you agree to be bound by these Terms of Service. If you do not agree to all terms and conditions contained herein, you must immediately discontinue use of the Software and services.

2. Nature of Service: Technology Software Only

Cortex Terminal is strictly a software technology provider. We are not a broker-dealer, financial institution, investment advisor, or custodian of customer funds. Cortex Terminal provides analytical software, interactive charting, risk calculators, and ultra-low latency execution interfaces designed to interact locally with your MetaTrader 5 (MT5) installation.

You maintain a direct, independent contractual relationship with your regulated broker. Cortex Terminal does not manage funds, hold deposits, execute banking transactions, or custody trading assets.

3. Software License & Restrictions

Subject to your compliance with these Terms and active subscription payment, Cortex Terminal grants you a personal, revocable, non-exclusive, non-transferable, and limited license to install and use the Software on your personal computers or virtual private servers (VPS).

You may not decompile, reverse-engineer, modify, redistribute, sublicense, or resell the Software, Expert Advisors (.ex5), or proprietary source code without prior written consent from Cortex Terminal.

4. Subscriptions, Billing & Cancellations

Our Software is provided on a recurring subscription basis (monthly or annual). Billing and payments are handled securely by our authorized Merchant of Record (Paddle / Stripe), which acts as the legal reseller and processes payments, sales taxes, and VAT compliance worldwide.

• Automatic Renewal: Your subscription automatically renews at the end of each billing cycle unless cancelled prior to your renewal date.
• Easy Cancellation: You may cancel your subscription at any time directly through the Settings / Billing section in the terminal or via your receipt email. You will retain full access until the conclusion of your paid period.
• Refund Policy: We stand behind the quality of Cortex Terminal and offer trial periods or satisfaction guarantees as outlined on our Pricing page. Except where mandated by consumer protection laws, fees paid after the trial period are non-refundable.

5. Cortex Guardian & Risk Management Limitations

Cortex Guardian features (including daily loss limits, maximum trades lockouts, cooldown timers, and mandatory stop losses) are designed as disciplined execution safeguards. While engineered for 0.8ms native execution, you acknowledge that external network disruptions, broker slippage, volatile market gaps, or local internet interruptions may impact real-time order execution.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Cortex Terminal and its developers shall not be liable for any trading losses, loss of profits, slippage, connectivity delays, or incidental damages arising out of your use of or inability to use the Software. All trading decisions are made solely at your own discretion and risk.
